Offdeal terms of service

These Terms define the rules for using the Offdeal website, available at www.offdeal.pl, including the conditions for registration and maintenance of accounts, publication of listings, use of the OffDeal feature, listing promotion services and online payments.

The owner and operator of the service is Offdeal Sp. z o.o., with its registered office at ul. Marsz. Józefa Piłsudskiego 74/320, tax ID 8971969038, email address: kontakt@offdeal.pl, hereinafter referred to as the “Administrator” or “Service Provider”.

Using the service means accepting these Terms to the extent applicable to a given functionality.

For the purposes of these Terms, the following definitions apply:

• Service – the Offdeal online platform;
• User – any person using the Service;
• Account – a set of resources assigned to the User after registration;
• Agent – a user publishing listings or using professional functions intended for intermediaries;
• Agency / Organization – a business entity using the Service in connection with its professional activity;
• Listing – a real estate listing published on the Service;
• OffDeal listing – a non-public or pre-public listing available under the rules defined by the Service;
• Promotion services – additional services increasing the visibility of a listing, including listing refresh or homepage highlighting;
• Consumer – a natural person performing a legal act not directly related to their business or professional activity;
• Entrepreneur with consumer rights – a natural person to whom consumer protection provisions apply, if this results from applicable law.

As part of the Service, the Administrator may in particular provide:

• browsing real estate listings;
• creating and maintaining user accounts;
• publishing and managing listings;
• using the OffDeal feature;
• subscribing to alerts, notifications and system messages;
• communication between users and agents;
• listing promotion services;
• other additional services made available by the Administrator.

The scope of functions may vary depending on the type of account, user role, cooperation model or currently active plan.

Creating an account requires providing the data necessary for registration and creating a password. The User is obliged to provide true, current and complete data.

The User is responsible for the security of login credentials and for all actions performed using their account, unless they prove that such actions occurred without their fault.

It is prohibited to share the account with third parties, bypass the Service’s security measures, create multiple accounts to circumvent limitations or sanctions, or use the account in a manner contrary to law, good practice or these Terms.

End-user accounts on the Service are fully free of charge, unless the Administrator explicitly states otherwise for a specific additional service.

The person publishing a listing is obliged to provide information consistent with the actual state, not misleading, compliant with the law and not infringing third-party rights.

It is prohibited to publish:

• fictitious, sham or outdated listings;
• listings infringing third-party rights, including copyright to photos and descriptions;
• listings containing unlawful, vulgar or spam content;
• announcements aimed solely at generating traffic or collecting data;
• duplicates of the same listing in a manner contrary to the Service rules.

The Administrator may remove, technically correct, hide or reject listings that violate the Terms, the Service’s quality requirements or the law.

OffDeal listings are special in nature and are intended to be published under the rules defined by the Administrator as unique, non-public or pre-public listings.

By publishing an OffDeal listing, the user declares that the listing meets the uniqueness requirements defined by the Service. In particular, an OffDeal listing should not be simultaneously published as a public listing on other publicly accessible advertising portals if this would violate the nature of the OffDeal listing defined by the Administrator.

It is permissible to promote an OffDeal listing in other services, groups, communication channels or communities intended for off-market, pre-market or limited-circulation listings, provided that this does not turn the listing into a public, mass-market or generally accessible listing contrary to the OffDeal rules applicable on the Service.

Promoting an OffDeal listing in channels intended for the off-market segment does not violate the uniqueness requirement if the listing retains its non-public or pre-public nature and is not simultaneously published on generally accessible public listing portals in a manner contrary to the Service rules.

The publication date of a listing on the OffDeal Service may not be later than the date of the first publication of the same listing on a publicly accessible portal. If the listing was previously published publicly outside OffDeal, the Administrator may determine that the listing does not meet the OffDeal rules or does not have the character of a non-public or pre-public listing.

In particular, the following are prohibited:

• duplicating the same OffDeal listing multiple times;
• publishing an OffDeal listing that is not unique;
• circumventing visibility, publication time or refresh rules;
• creating sham OffDeal listings solely to increase account exposure.

If an OffDeal rules violation is found, the Administrator may, at its discretion and depending on the scale of the violation:

• remove or hide the listing;
• revoke access to the OffDeal feature;
• temporarily suspend the account;
• permanently block the account.

The Service may provide paid or free listing promotion services, including in particular:

• listing refresh;
• listing highlighting;
• homepage highlighting;
• other forms of increased listing exposure.

Using a promotion service does not guarantee any specific business result, number of contacts, number of views or transaction completion.

The scope, duration, price and manner of performance of a promotion service are specified each time in the description of the given service, the price list or at the purchase stage.

If a given service on the Service is paid, payment may be made online using the payment operator PayPro S.A. (Przelewy24).

The following rules apply to payments:

• the user may be redirected to the payment operator’s system to complete the transaction;
• available payment methods are presented during the order placement process;
• the agreement for a paid service may be concluded upon successful submission of the order, and performance of the service may depend on receipt of confirmation of successful payment;
• payment is considered completed upon receipt of confirmation from the payment operator;
• by clicking the “Pay” button or an equivalent, the user expresses the will to proceed to a payment handled by Przelewy24;
• the sales document, if issued, may be provided electronically;
• data necessary to process the payment may be transferred to the payment operator in accordance with the Privacy Policy.

If required by law or by the nature of the service, information about the price, taxes, duration of the service, functionality and complaint rules will be presented to the user before purchase.

As of the publication date of these Terms, use of the Service by agents and agencies is free until revoked, unless the Administrator explicitly marks a given service as paid.

If in the future the Administrator decides to introduce fees for currently free functions, users will be informed at least 30 days in advance.

In such a case, the user may resign from cooperation and stop using the Service before the changes come into effect.

End-user accounts remain fully free of charge unless otherwise specified.

The Administrator has the right to take moderation actions if content or accounts violate the Terms, safety or law.

These actions may include:

• warning the user;
• removing listings;
• limiting account functionality;
• temporary suspension;
• permanent blocking.

Blocking may occur in case of:

• serious violations;
• illegal content;
• OffDeal rule violations;
• circumventing bans;
• harmful actions.

Users may submit complaints.
